The terms that govern access to and use of Hilite’s podcast recording, editing, transcription, publishing, and related services.

These Terms & Conditions (the “Terms”) govern access to and use of Hilite’s websites, applications, recording, editing, transcription, enhancement, publishing, hosting, analytics, collaboration, and related services (collectively, the “Service”). The Service is provided by Shanda Technologies Inc., doing business as Hilite (“Hilite,” “we,” “us,” or “our”). By creating an account, purchasing a plan, or using the Service, you agree to these Terms.
You must be at least 18 years old, or the age of legal majority where you live, to create an account on your own behalf. A person between 13 and 17 may use the Service only with the permission and supervision of a parent, legal guardian, school, or other authorized organization. The Service is not intended for children under 13. If you use the Service for an organization, you represent that you have authority to bind it to these Terms. You must provide accurate information, protect your login credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account, including activity by collaborators you invite.
Hilite may provide browser-based recording, audio and transcript editing, audio enhancement, transcription, AI-assisted titles and show notes, publishing, RSS distribution, downloads, share pages, collaboration, and analytics. Features may vary by plan, location, device, or release stage. We may modify features, integrations, limits, or pricing and will provide reasonable notice when a material change adversely affects a paid subscription, except where immediate action is needed for security, legal compliance, abuse prevention, or service integrity.
Paid plans, usage limits, billing periods, taxes, and trial terms are shown at checkout or in your account. Subscriptions automatically renew at the then-current price unless canceled before renewal. You authorize Hilite and its payment processor to charge your payment method. A trial may convert to a paid plan if that was disclosed when you enrolled. You may cancel through your account or by contacting admin@hellohilite.com. Cancellation generally takes effect at the end of the current paid period. Fees are non-refundable except where required by law or expressly stated at purchase. A canceled account may downgrade to the available free plan and remain subject to its limits. You are responsible for exporting content you need before account closure, downgrade, or the end of a retention period.
“User Content” means audio, video, transcripts, text, music, images, metadata, files, comments, and other material you upload, record, create, edit, publish, or transmit through the Service. As between you and Hilite, you retain ownership of your User Content. You grant Hilite a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, modify, transmit, display, and distribute User Content only as reasonably necessary to operate, secure, improve, and support the Service; follow your instructions; enable collaboration and publishing; and comply with law. When you publish or share User Content publicly, you authorize Hilite to make it available as directed by you.
Unless Hilite separately asks and you agree, Hilite will not use private User Content to train generalized AI models for unrelated customers.
You represent that you own or have all rights and permissions needed for your User Content and for Hilite to process it. This includes recording consent, guest releases, publicity and privacy rights, music and sound-effect licenses, and permissions for third-party material. Recording-consent laws vary, and you are responsible for giving notices and obtaining consent from every participant where required. You are also responsible for reviewing titles, descriptions, transcripts, generated text, music, feeds, distribution settings, and other outputs before publishing or relying on them.
You may not use the Service to violate law or another person’s rights; upload infringing, fraudulent, defamatory, exploitative, or unlawfully private material; record people without required consent; distribute malware, spam, phishing, or deceptive content; access another account; defeat security or plan controls; scrape or interfere with the Service; reverse engineer the Service except where law permits; use unauthorized extraction to build a competing product or model; or misrepresent AI-generated or edited material in a way that is unlawful or materially deceptive. We may remove content, restrict features, suspend accounts, or report conduct where reasonably necessary to protect users, third parties, Hilite, or the Service.
AI outputs, transcripts, enhancement results, titles, descriptions, and show notes may be incomplete, inaccurate, or unsuitable. Hilite does not guarantee factual accuracy, legal compliance, non-infringement, or a particular audio result. To provide these features, relevant User Content may be processed by providers that perform transcription, audio processing, hosting, or generation on our behalf, as described in the Privacy Policy.
The Service may connect to podcast directories, RSS platforms, authentication providers, payment processors, analytics services, and social platforms. Their terms and privacy practices apply. Hilite is not responsible for third-party availability, moderation, policy changes, account actions, distribution delays, or content retained outside Hilite after you publish or export it.
Hilite and its licensors own the Service, software, designs, trademarks, templates, documentation, and other Hilite materials, excluding User Content. These Terms grant you a limited, revocable, non-transferable right to use the Service in accordance with your plan. If you provide feedback, you permit Hilite to use it without restriction or compensation, provided we do not identify you publicly without permission.
Copyright complaints may be sent to admin@hellohilite.com. Include your contact information, identification of the copyrighted work, the location of the material, the required good-faith and accuracy statements, and your physical or electronic signature.
You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay fees, create legal or security risk, misuse the Service, or if continued operation is impracticable. Where reasonable, we will provide notice and an opportunity to cure. Provisions that should survive termination will remain effective, including ownership, payment obligations, disclaimers, liability limits, indemnity, and dispute terms.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, HILITE DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. HILITE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT USER CONTENT WILL NEVER BE LOST. Keep independent backups of important recordings, masters, transcripts, and published files.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HILITE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION. HILITE’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID HILITE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) $100. Some jurisdictions do not allow certain exclusions or limits, so portions of this section may not apply.
To the extent permitted by law, you will defend, indemnify, and hold harmless Hilite and its officers, directors, employees, contractors, and affiliates from claims, losses, liabilities, damages, judgments, and reasonable legal fees arising from your User Content, unlawful or unauthorized use of the Service, or material breach of these Terms.
These Terms are governed by Delaware law, without regard to conflict-of-law principles. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Delaware, and each party consents to their jurisdiction and venue. This does not limit consumer rights that cannot lawfully be waived.
We may update these Terms. If a change is material, we will provide notice through the Service, by email, or by another reasonable method. Continued use after the stated effective date means you accept the updated Terms.
